PHAx Terms of Use

These Terms of Use (the Terms) are an agreement between you and Arborion Global Private Limited, 4th Floor, Hiranandani Circle, Hiranandani Business Park, Chitalsar Manpada, Ghodbunder Road, Thane 400607, Maharashtra, India (Arborion Global, we, us). You means the individual installing or using PHAx and the organisation on whose behalf they do so.

The Terms apply to

By installing, signing in to or using the Software you accept these Terms. If you do not accept them, do not install or use the Software. PHAx shows these Terms before first use, and the version shown in PHAx is the same as this page. How PHAx handles personal data is explained in the PHAx Privacy Statement.

1. Licence

1.1 Subject to these Terms and to payment of the applicable fees (or our written approval of a trial), we grant you a non-exclusive, non-transferable, non-sublicensable licence to install and use the Software for your internal business purposes. The licence covers the number of computers (seats) and the period (the Licence Term) stated in your licence.

1.2 A trial licence is granted only with our approval, for evaluation, for the period we state. It ends automatically at the end of that period.

1.3 The Software is licensed, not sold. We and our licensors keep all rights, title and interest in the Software, including all intellectual property rights. No rights are granted except those expressly stated in these Terms.

2. Accounts and licence verification

2.1 Arborion accounts. You sign in to PHAx with an Arborion account, using the sign-in page operated for us by Microsoft Entra External ID. Your account is personal, so do not share it. Keep your password confidential, and tell us (or your organisation's PHAx administrator) at once if you suspect someone else has used your account. You are responsible for activity under your account.

2.2 An Arborion account lets you use PHAx only while your e-mail address is on an active licence. Creating an account does not by itself grant a licence.

2.3 Verification. The Software checks your licence with our licence service when you sign in and then at least once every seven (7) days. It can be used offline for up to seven (7) days after its last successful check. After that it stops and asks you to connect to the internet and verify. Save your work regularly.

2.4 The information exchanged for sign-in and verification is described in the PHAx Privacy Statement. It never includes the content of your studies.

2.5 You may move a seat to another computer by signing out on the old computer (Help, then Licence, then Sign out of this computer), or by asking us to reset your activations.

2.6 Where we issue a licence key instead of accounts, clauses 2.3 to 2.5 apply to the key. Keep it confidential.

3. Restrictions

You must not, and must not allow anyone else to

  1. copy, distribute, sell, rent, lease, lend, sub-license or otherwise make the Software available to any third party, except as these Terms allow,
  2. reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, structure or algorithms of the Software, except to the extent applicable law expressly permits this despite this restriction,
  3. modify, adapt, translate or create derivative works of the Software,
  4. remove, disable, circumvent or interfere with the licence verification, code signing, or any other technical protection of the Software, or use any account, key, lease or activation not issued to you,
  5. remove or alter any copyright, trademark or proprietary notice,
  6. use the Software beyond the number of seats or the Licence Term you have paid for or been approved for, or
  7. use the Software in breach of any applicable law, including export control and sanctions laws.

4. Your data and your responsibilities

4.1 The studies, worksheets, drawings and other content you create or import with the Software (Your Data) belong to you. We do not receive Your Data through the Software. Your Data is stored on your computers and in the storage you choose.

4.2 Engineering responsibility. The Software is a tool that helps qualified people conduct and record process hazard analysis (HAZOP, What-If, HAZID and LOPA). It does not replace their professional judgement. You are solely responsible for

The example risk matrix and typical values supplied with the Software are examples only. You must replace them with criteria approved for your organisation and verify them.

4.3 You are responsible for backing up Your Data and for the security of the computers and storage on which you use the Software.

5. Fees

Fees, the Licence Term and the number of seats are as agreed in your order, quotation or invoice. Unless otherwise agreed, fees are payable in advance and are non-refundable except as required by law.

6. Updates and support

We may provide updates, fixes and new versions. Support, if included in your licence, is provided as agreed in your order. We may change or discontinue features in later versions. Where this materially reduces the functionality you have paid for during a Licence Term, you may end your licence and receive a pro-rata refund of prepaid fees.

7. Confidentiality

Each party will keep the other's confidential information confidential and use it only for the purpose of these Terms. The Software, licence keys and any non-public information about the Software are our confidential information.

8. Warranty and disclaimer

8.1 We warrant that, for thirty (30) days from first activation of a paid licence, the Software will perform materially as described in its documentation. Your sole remedy for a breach of this warranty is, at our choice, correction of the Software or a refund of the fees paid for the affected licence.

8.2 Except as stated in clause 8.1 and to the fullest extent permitted by law, the Software is provided as is. We give no other warranty, express or implied, including any warranty of merchantability, fitness for a particular purpose, accuracy or non-infringement. We do not warrant that the Software will be error-free or uninterrupted. Trial licences are provided without any warranty.

9. Limitation of liability

9.1 Nothing in these Terms limits liability that cannot be limited by law, including liability for death or personal injury caused by negligence, or for fraud.

9.2 Subject to clause 9.1, neither party is liable for any indirect, incidental, special or consequential loss, or for loss of profit, revenue, business, goodwill or data, however it arises.

9.3 Subject to clause 9.1, our total liability arising out of or in connection with these Terms is limited to the fees you paid for the Software in the twelve (12) months before the event giving rise to the claim.

10. Term and termination

10.1 These Terms apply for the Licence Term, unless ended earlier.

10.2 We may suspend or end your licence if you materially breach these Terms and, where the breach can be remedied, do not remedy it within fourteen (14) days of our notice. We may withdraw a licence or disable an account immediately in cases of unauthorised use or circumvention of licence controls.

10.3 When your licence ends you must stop using the Software. The Software stops at its next verification. Your Data remains yours and stays on your computers, and you may export it before your licence ends.

11. General

11.1 Governing law and jurisdiction. These Terms are governed by the laws of India, and the courts of India have jurisdiction over any dispute relating to them, subject to any mandatory consumer protection rights.

11.2 Changes. We may update these Terms. We will publish the new version on this page with a new version number, and PHAx will ask you to accept it before you continue. If you do not accept, you may end your licence and receive a pro-rata refund of prepaid fees for the remaining Licence Term.

11.3 If any provision is held invalid, the rest remains in force. A failure to enforce a right is not a waiver. You may not assign these Terms without our consent. These Terms, with your order, are the entire agreement about the Software.
