BOWTY Expert Terms of Use

These Terms of Use (the Terms) are an agreement between you and Arborion Global Private Limited, 4th Floor, Hiranandani Circle, Hiranandani Business Park, Chitalsar Manpada, Ghodbunder Road, Thane 400607, Maharashtra, India (Arborion Global, we, us). You means the individual installing or using BOWTY Expert and the organisation on whose behalf they do so.
The Terms apply to
- the BOWTY Expert desktop application for macOS and Windows, its updates and documentation (the Software),
- the BOWTY Expert licensing service at bowty.arborionglobal.com, which signs users in, activates computers, checks licences, takes payments and signs revision checkpoints (the Licensing Service), and
- Arborion accounts used to sign in to BOWTY Expert.
By installing, signing in to or using the Software you accept these Terms. If you do not accept them, do not install or use the Software. BOWTY Expert shows these Terms before first use, and the version shown in BOWTY Expert is the same as the one published at www.arborionglobal.com/bowty/terms. How BOWTY Expert handles personal data is explained in the BOWTY Expert Privacy Statement, and refunds in the BOWTY Expert Refund Policy.
1. Licence
1.1 Subject to these Terms and to payment of the applicable fees (or, for a free trial, clause 1.2), we grant you a non-exclusive, non-transferable, non-sublicensable licence to install and use the Software for your internal business purposes. The licence covers the number of computers (seats) and the period (the Licence Term) stated in your licence.
1.2 A free trial can be started in BOWTY Expert after you sign in, for evaluation, for the period stated on our website (www.arborionglobal.com/bowty). There is one trial per person and one per organisation. An organisation is recognised by the domain of the e-mail address used, except for addresses at public e-mail providers, which count only for the person. A trial is activated like a paid licence and ends automatically at the end of its period. We may end or refuse a trial where the offer is misused.
1.3 Without a valid licence or trial, BOWTY Expert works in read-only mode: you can open and view bow tie files, but you cannot save changes to them or export them. Work that is open when a licence lapses can still be saved for a short period.
1.4 The Software is licensed, not sold. We and our licensors keep all rights, title and interest in the Software, including all intellectual property rights. No rights are granted except those expressly stated in these Terms.
2. Accounts and licence verification
2.1 Arborion accounts. You sign in to BOWTY Expert with an Arborion account (Arborion Accounts, accounts.arborionglobal.com). Your account is personal, so do not share it. Keep your password confidential, and tell us (or the person who manages your organisation's BOWTY Expert licence) at once if you suspect someone else has used your account. You are responsible for activity under your account.
2.2 An Arborion account lets you use BOWTY Expert only while your e-mail address is on an active licence or trial. Creating an account does not by itself grant a licence.
2.3 Verification. The Software checks your licence with the Licensing Service when you sign in, then at least once every seven (7) days, and it tries again after each update of the Software. Each successful check gives the computer a lease, digitally signed by the Licensing Service, that is valid offline for seven (7) days. If the lease expires before the next successful check, BOWTY Expert switches to read-only mode until you connect to the internet and it verifies again. Save your work regularly.
2.4 The information exchanged for sign-in and verification is described in the BOWTY Expert Privacy Statement. It never includes the content of your bow tie files.
2.5 Activation. Each computer is activated once, by a licensed user signed in to BOWTY Expert on that computer, which needs an internet connection. The activation is bound to that computer and cannot be used on another computer. Each activated computer uses one seat. Reinstalling or updating BOWTY Expert on the same computer reuses that computer's seat.
2.6 To move a seat to another computer, deactivate the old computer (Account & Licence in BOWTY Expert), or ask us to deactivate it. Deactivating a computer frees its seat and signs that computer out.
3. Restrictions
You must not, and must not allow anyone else to
- copy, distribute, sell, rent, lease, lend, sub-license or otherwise make the Software available to any third party, except as these Terms allow,
- reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, structure or algorithms of the Software, except to the extent applicable law expressly permits this despite this restriction,
- modify, adapt, translate or create derivative works of the Software,
- remove, disable, circumvent or interfere with the activation, licence verification, code signing, checkpoint signatures or any other technical protection of the Software, copy or transfer an activation to another computer, or use any account, lease or activation not issued to you,
- remove or alter any copyright, trademark or proprietary notice,
- use the Software beyond the number of seats or the Licence Term you have paid for or been approved for, or
- use the Software in breach of any applicable law, including export control and sanctions laws.
Open-source components included in BOWTY Expert are licensed under their own licences, listed under Help ▸ Open-source Licences; nothing in these Terms limits your rights under those licences.
4. Your data and your responsibilities
4.1 The bow tie diagrams, risk matrices, reports, templates, logos and other content you create or import with the Software (Your Data) belong to you. Your Data is saved as files on your computer or in the shared folders you choose. We do not receive Your Data through the Software.
4.2 Revision checkpoints. When you sign off a revision while online, the Software asks the Licensing Service to sign a checkpoint for it. The Licensing Service receives and keeps the file's identifier, the revision number, a one-way hash of the revision and the signing account, never the content. The signed checkpoint is stored in the file, so that a later change to a signed-off revision can be detected.
4.3 Engineering responsibility. The Software is a tool that helps qualified people carry out and record bow tie analysis. It does not replace their professional judgement. You are solely responsible for
- the competence of the people using it,
- the hazards, threats, consequences, barriers, risk matrices, risk acceptance criteria and other data entered,
- the verification of every diagram, assessment and report, and
- all engineering, safety and business decisions made using the Software, including decisions that a risk is acceptable or as low as reasonably practicable.
The example risk matrices, templates and typical content supplied with the Software are examples only. You must replace them with criteria approved for your organisation and verify them.
4.4 You are responsible for backing up Your Data and for the security of the computers and shared folders on which you use the Software.
5. Fees and refunds
5.1 Licences are bought in BOWTY Expert, through our checkout page on the Licensing Service, or as agreed in a quotation or invoice. Fees, the Licence Term and the number of seats are as stated at checkout or in your order. Unless otherwise agreed, fees are payable in advance, in Indian rupees, plus GST. Online payments are processed by Razorpay. We issue a GST tax invoice for each purchase and a credit note for each refund.
5.2 Refunds are given only pro rata under the BOWTY Expert Refund Policy, published at www.arborionglobal.com/bowty/refunds: the amount actually paid, multiplied by the unused days of the Licence Term and divided by the total days of the term. A purchase made with a discount or promotional code is refunded on the amount actually paid. A free trial involves no payment, so there is nothing to refund. When a licence is refunded it ends and all of its computer activations are deactivated.
5.3 A licence also ends if a chargeback on its payment is upheld. While a chargeback or payment dispute is open, we may suspend the licence.
5.4 Where these Terms give you a pro-rata refund of prepaid fees (clauses 6, 8.1 and 11.2), it is worked out in the same way. Nothing in this clause limits a refund that the law requires.
6. Updates and support
We may provide updates, fixes and new versions. BOWTY Expert tells you when a new version is available on our website; it does not download or install updates itself, except where it was installed from an app store that updates it. Support, if included in your licence, is provided as agreed in your order. We may change or discontinue features in later versions. Where this materially reduces the functionality you have paid for during a Licence Term, you may end your licence and receive a pro-rata refund of prepaid fees.
7. Confidentiality
Each party will keep the other's confidential information confidential and use it only for the purpose of these Terms. The Software, its activations and leases and any non-public information about the Software are our confidential information.
8. Warranty and disclaimer
8.1 We warrant that, for thirty (30) days from first activation of a paid licence, the Software will perform materially as described in its documentation. If it does not, we will correct the Software. If we cannot fix a material non-conformity within a reasonable time, you may end your licence and receive a pro-rata refund of the fees for the unused part of the Licence Term, worked out as in clause 5. This is your sole remedy for a breach of this warranty.
8.2 Except as stated in clause 8.1 and to the fullest extent permitted by law, the Software is provided as is. We give no other warranty, express or implied, including any warranty of merchantability, fitness for a particular purpose, accuracy or non-infringement. We do not warrant that the Software will be error-free or uninterrupted. Trial licences are provided without any warranty.
9. Limitation of liability
9.1 Nothing in these Terms limits liability that cannot be limited by law, including liability for death or personal injury caused by negligence, or for fraud.
9.2 Subject to clause 9.1, neither party is liable for any indirect, incidental, special or consequential loss, or for loss of profit, revenue, business, goodwill or data, however it arises.
9.3 Subject to clause 9.1, our total liability arising out of or in connection with these Terms is limited to the fees you paid for the Software in the twelve (12) months before the event giving rise to the claim.
10. Term and termination
10.1 These Terms apply for the Licence Term, unless ended earlier.
10.2 We may suspend or end your licence if you materially breach these Terms and, where the breach can be remedied, do not remedy it within fourteen (14) days of our notice. We may withdraw a licence or disable an account immediately in cases of unauthorised use or circumvention of activation or licence controls.
10.3 When your licence ends you must stop using the Software, which returns to read-only mode at its next verification or when its lease expires. Your Data remains yours and stays on your computers and shared folders.
11. General
11.1 Governing law and jurisdiction. These Terms are governed by the laws of India, and the courts of India have jurisdiction over any dispute relating to them, subject to any mandatory consumer protection rights.
11.2 Changes. We may update these Terms. We will publish the new version at www.arborionglobal.com/bowty/terms with a new version number, and BOWTY Expert will ask you to accept it before you continue. If you do not accept, you may end your licence and receive a pro-rata refund of prepaid fees for the remaining Licence Term.
11.3 If any provision is held invalid, the rest remains in force. A failure to enforce a right is not a waiver. You may not assign these Terms without our consent. These Terms, with your order, are the entire agreement about the Software.
